1. AGREEMENT TO TERMS
These Terms of Use & Sale (the “Terms”) govern your access to and use of our website, content, and any products or services offered or delivered through Kajabi or related platforms (collectively, the “Site” and “Services”). By accessing the Site, creating an account, or purchasing any product or service, you agree to be bound by these Terms and all policies incorporated by reference, including our Privacy Policy, Cookie Policy, Refund & Cancellation Policy, Digital Product License (EULA), Membership & Subscription Terms, Coaching Agreement, and DFY/DWY Master Services Agreement (MSA) (as applicable). If you do not agree, do not access or use the Site or purchase the Services.
2. ELIGIBILITY; ACCOUNT SECURITY
You must be at least 18 years old to purchase. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Account sharing is prohibited without our written consent. We may suspend or terminate access for any breach of these Terms.
3. OFFERINGS; DELIVERY; MODIFICATIONS
We provide digital courses, templates, memberships, coaching, downloads, and DFY/DWY services. Unless otherwise stated, digital products are delivered by secure, immediate access after payment. We may update, substitute, or retire content at any time to improve the Services or for operational reasons.
4. PRICING; TAXES
Prices are displayed at checkout and may change for future purchases. You are responsible for all applicable taxes; we may collect and remit where required.
5. PAYMENTS; RECURRING BILLING
Payments are processed by third‑party processors (e.g., Stripe/PayPal). For memberships, subscriptions, and payment plans, you authorize recurring charges until canceled as described in our Membership & Subscription Terms. You agree to keep payment information current. Access may be paused for non‑payment or chargeback.
6. NO REFUNDS
All sales are final for digital products, memberships, coaching, templates, downloads, and DFY/DWY services. See our Refund & Cancellation Policy for details. For EU/UK consumers, where digital content is delivered immediately, you will be asked at checkout to request immediate performance and acknowledge that you waive the 14‑day withdrawal right once access begins.
7. INTELLECTUAL PROPERTY; LIMITED LICENSE
All content, materials, and intellectual property on or through the Site are owned by Collab Social LLC or its licensors and protected by U.S. and international laws. Subject to payment and compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license for personal or internal business use as described in the Digital Product License (EULA). You shall not copy, redistribute, resell, or create derivative works from our materials except as expressly permitted.
8. USER CONTENT & FEEDBACK
Where the Site allows you to submit content (e.g., comments or community posts), you represent you have the necessary rights. You grant us a non‑exclusive, worldwide, royalty‑free license to host, display, and use such content to operate the Services. We may moderate or remove content at our discretion.
9. ACCEPTABLE USE
You agree not to: (i) use the Site or Services for unlawful purposes; (ii) infringe third‑party rights; (iii) attempt to bypass access controls; (iv) upload malware or malicious code; (v) scrape, harvest, or otherwise extract data without permission; or (vi) resell, rent, or share access credentials. 10. AUTOMATION/CHATBOT/AI TOOLS & OUTPUTS — CUSTOMER CONTROL, NO RESPONSIBILITY
- Definitions. “Automation Tools” means any chatbot, assistant, workflow, generative‑AI or similar functionality we make available (including prompts, templates, connectors, and configurations). “Outputs” means any text, images, media, code, or other content generated by or through Automation Tools.
- Your Control; Your Responsibility. You decide whether, how, and for what purposes to use Automation Tools, including the prompts, instructions, and data you provide and any decisions you make based on Outputs. You are solely responsible for reviewing, testing, validating, moderating, and approving all Outputs prior to use, publication, distribution, or reliance.
- No Responsibility for Outputs or Performance. To the maximum extent permitted by law, we are not responsible or liable for: (a) the content, accuracy, legality, or appropriateness of any Outputs; (b) the performance, availability, latency, or behavior of Automation Tools; (c) decisions or actions you take based on Outputs or our trainings; or (d) third‑party platform changes or outages affecting Automation Tools. Outputs may be inaccurate, incomplete, harmful, offensive, or infringing, and may not be unique.
- No Professional Advice; High‑Risk Uses Prohibited. The Automation Tools and our trainings are informational only and do not constitute legal, medical, financial, accounting, or other professional advice. Do not deploy Automation Tools in safety‑critical or high‑risk contexts (including medical triage, emergency services, critical infrastructure, or legal/regulatory determinations) or where an error could cause injury, death, or substantial economic loss.
- Compliance; Third‑Party Terms. You must use Automation Tools and Outputs in compliance with applicable laws, platform rules, and intellectual‑property rights. Do not input or publish personal data or confidential information without proper authority and notices.
- Ownership; Rights in Outputs. As between you and us, you own the Outputs you choose to use, subject to applicable law, the rights of others, and your compliance with these Terms and third‑party terms. We make no representation that any Output will be free of third‑party rights or fit for your purpose. You are responsible for obtaining any permissions, licenses, or disclosures required for your use of Outputs.
- Third‑Party Providers. Automation Tools may route to third‑party model providers and infrastructure governed by their own terms and privacy notices. We are not responsible for their acts or omissions.
11. WARRANTY DISCLAIMER
THE SITE, SERVICES, TRAININGS, AUTOMATION TOOLS, AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE, SERVICES, AUTOMATION TOOLS, OR OUTPUTS WILL BE ERROR‑FREE, ACCURATE, RELIABLE, NON‑INFRINGING, SECURE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED. YOU ASSUME ALL RISK AS TO RESULTS OBTAINED FROM, AND DECISIONS MADE IN RELIANCE ON, THE SITE, SERVICES, TRAININGS, AUTOMATION TOOLS, AND OUTPUTS.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COLLAb SOCIAL LLC OR ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SITE, SERVICES, TRAININGS, AUTOMATION TOOLS, OR OUTPUTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID TO US IN THE TWELVE (12) MONTHSPRECEDING THE EVENT GIVING RISE TO THE CLAIM; FOR FREE ACCESS, THE CAP IS US $100. THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
13. YOUR INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Collab Social LLC and its members, managers, employees, contractors, and agents from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Outputs or your use of Automation Tools; (b) your prompts, instructions, configurations, or integrations; (c) your reliance on or use of trainings, templates, or educational materials; (d) content or data you input, upload, or provide; (e) your violation of law or third‑party rights (including IP, privacy, and publicity rights); and (f) claims by your customers or end usersrelating to the foregoing. We may participate in the defense with counsel of our choosing at your expense. This Section does not apply to the extent a claim is finally adjudicated to have arisen from our willful misconduct or gross negligence.
14. THIRD‑PARTY SERVICES
The Site integrates third‑party services (e.g., Kajabi hosting, payment processors, analytics/advertising platforms). Those services are governed by their own terms and policies. We are not responsible for third‑party outages or acts/omissions.
15. DMCA; COPYRIGHT
If you believe content on the Site infringes your copyright, please see our DMCA Policy for takedown procedures.
16. GOVERNING LAW; VENUE; DISPUTE RESOLUTION
These Terms are governed by the laws of the State of Florida without regard to conflict‑of‑laws principles. Exclusive venue lies in the state and federal courts located in Sarasota County, Florida. You waive any objection to venue and personal jurisdiction in those courts. (Optional arbitration clause may be added upon counsel’s advice.)
17. CHANGES TO TERMS
We may modify these Terms at any time. The Effective Date above reflects the latest version. Continued use after changes constitutes acceptance.
